By accessing or using the ProSet website (teamproset.com) and our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
Services Description
ProSet builds AI-powered lead generation systems for service businesses, including paid traffic management, conversion engineering, search engine optimization (SEO), and reputation management. The specific scope of services, deliverables, and timelines are defined in individual service agreements between ProSet and each client.
Payment Terms
Payment terms, rates, and billing schedules are outlined in individual client service agreements. Unless otherwise stated in your agreement, invoices are due upon receipt. Advertising spend budgets are billed separately from management fees. ProSet reserves the right to pause services if payment is not received within 15 days of the invoice date. All fees are non-refundable unless otherwise specified in your service agreement.
Client Responsibilities
Clients are responsible for providing accurate business information and timely access to accounts and assets needed for service delivery, reviewing and approving system strategies and ad copy in a timely manner, and ensuring that any content or materials provided to ProSet do not infringe on third-party intellectual property rights.
Intellectual Property
All content on the ProSet website, including text, graphics, logos, and design elements, is the property of ProSet and is protected by applicable intellectual property laws. Custom work created for clients (such as websites, ad copy, and system strategies) is owned by the client upon full payment, unless otherwise stated in the service agreement.
Results Disclaimer
While we work diligently to deliver measurable results, ProSet does not guarantee specific outcomes such as particular lead volumes, revenue figures, or search engine rankings. Lead generation and marketing results are influenced by many factors outside our control, including market conditions, competition, and seasonal trends. Statistics and case studies referenced on our website represent past performance and are not guarantees of future results.
Limitation of Liability
To the maximum extent permitted by law, ProSet shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our website or services. Our total liability for any claim shall not exceed the total amount paid by you for services during the twelve (12) months preceding the claim.
Termination
Either party may terminate services as outlined in the individual service agreement. ProSet reserves the right to terminate or suspend access to our services if these terms are violated. Upon termination, all access to active systems and ProSet-managed accounts will be transitioned back to the client in an orderly manner.
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the state or federal courts located in Tennessee.
Changes to These Terms
We may update these terms from time to time. Any changes will be posted on this page with an updated "Last updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
